Please read these Terms of Service carefully before using Shortshifu's website or services. By accessing or using our services, you agree to be bound by these terms.

1. Agreement to Terms

By accessing or using Shortshifu's website (https://shortshifu.com) or services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These Terms constitute a legally binding agreement between you (the "Client" or "you") and Shortshifu ("we," "us," or "our").

2. Services Description

Shortshifu provides digital services including but not limited to:

Web Development: Custom website design, development, and maintenance
AI Automation: Workflow automation, chatbot development, and AI integration
Sales Funnels: Marketing funnel design, landing page creation, and conversion optimization
Consulting: Digital strategy, technical consulting, and business growth advisory

Specific services, deliverables, timelines, and pricing will be outlined in individual project proposals or service agreements.

3. Client Responsibilities

As a client, you agree to:

Provide accurate, complete, and timely information required for project completion
Respond to requests for feedback, approvals, or clarifications in a timely manner
Provide necessary access to accounts, platforms, hosting, or tools required for the project
Make payments according to the agreed-upon schedule
Use our services in compliance with all applicable laws and regulations
Not use our services for any illegal, harmful, or unethical purposes
Maintain the confidentiality of any login credentials or access we provide

Failure to fulfill these responsibilities may result in project delays, additional fees, or termination of services.

4. Payment Terms

Pricing and Invoicing

All prices are quoted in USD or the currency specified in your proposal. Prices are subject to change, but we will honor the price agreed upon in your signed proposal or contract.

Invoices will be sent via email and are due according to the payment schedule outlined in your project agreement. Typical payment structures include:

50% deposit upfront, 50% upon project completion
Milestone-based payments for larger projects
Monthly retainers for ongoing services

Late Payments

Payments not received within 7 days of the due date are considered late. We reserve the right to:

Charge a late fee of 5% per month on overdue balances
Suspend work until payment is received
Terminate the project and retain all payments made
Pursue legal action to collect outstanding amounts

Refunds

All deposits and payments are non-refundable once work has commenced. If you cancel a project after work has started, you are responsible for payment for all work completed up to the cancellation date.

5. Intellectual Property Rights

Client Ownership

Upon full payment, you will own the final deliverables created specifically for your project, including:

Custom designs, graphics, and visual assets created for your brand
Custom code written specifically for your project
Content created for your website or marketing materials

Shortshifu's Rights

We retain ownership of:

Pre-existing intellectual property, tools, templates, and frameworks
General methodologies, processes, and techniques
Code libraries, plugins, and third-party tools licensed for your use

We reserve the right to use completed projects in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.

Third-Party Assets

Some projects may include third-party assets (fonts, stock images, plugins, etc.) that are licensed separately. You are responsible for complying with the license terms of any third-party assets used in your project.

6. Project Timeline and Delays

We will make reasonable efforts to complete projects within the estimated timeline. However, timelines are estimates and not guarantees.

Delays may occur due to:

Delayed feedback, approvals, or information from the client
Scope changes or additional feature requests
Technical issues beyond our control
Force majeure events (natural disasters, pandemics, etc.)

We are not liable for any damages resulting from project delays unless caused by our gross negligence.

7. Revisions and Changes

Each project includes a specified number of revision rounds as outlined in your proposal. Additional revisions beyond the agreed scope will be billed at our hourly rate or as a separate change order.

Significant changes to project scope, features, or deliverables may require a new proposal and additional fees.

8. Warranties and Disclaimers

Our Warranties

We warrant that:

Services will be performed with professional skill and care
Deliverables will substantially conform to the specifications in your project agreement
We have the right to provide the services and deliverables

Disclaimers

Except as expressly stated above, our services are provided "as is" without warranty of any kind, express or implied. We specifically disclaim:

Guarantees of specific business results, sales, or revenue
Guarantees of search engine rankings or traffic
Warranties of fitness for a particular purpose
Warranties of uninterrupted or error-free operation

We do not guarantee that your website or automation will be compatible with all browsers, devices, or future technology updates.

9. Limitation of Liability

To the maximum extent permitted by law, Shortshifu shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Costs of procurement of substitute services
Damages arising from your use or inability to use our services

In any event, our total liability to you for all claims arising from or related to our services shall not exceed the total amount you paid us for the specific services giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Shortshifu and its officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your breach of these Terms of Service
Your violation of any law or regulation
Content, information, or materials you provide for the project
Your use of the deliverables we provide
Infringement of third-party intellectual property rights by materials you provide

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes:

Business strategies, financial information, and trade secrets
Customer data and proprietary processes
Login credentials and access to systems
Unreleased products, features, or marketing campaigns

This obligation survives the termination of our working relationship.

12. Termination

Termination by Client

You may terminate a project at any time by providing written notice. Upon termination:

You are responsible for payment of all work completed up to the termination date
All deposits and previous payments are non-refundable
We will provide you with work-in-progress files in their current state
We retain all intellectual property rights to incomplete work

Termination by Shortshifu

We may terminate a project if:

You fail to make payments according to the agreed schedule
You fail to provide necessary information or feedback for more than 30 days
You breach these Terms of Service
Continuing the project becomes impractical or illegal

In case of termination by us due to non-payment or breach, all payments made are non-refundable.

13. Support and Maintenance

Unless otherwise specified in your project agreement:

We provide 30 days of complimentary bug fixes after project delivery
Bug fixes cover issues directly caused by our code, not third-party plugins or user error
Ongoing support, maintenance, and hosting services are available as separate agreements
We are not responsible for issues caused by modifications made by third parties after delivery

14. Third-Party Services

Our services may integrate with or rely on third-party platforms, tools, or services (hosting providers, payment processors, email services, etc.). We are not responsible for:

The availability, performance, or security of third-party services
Changes to third-party APIs, pricing, or terms of service
Data loss or breaches caused by third-party providers

You are responsible for maintaining accounts, licenses, and compliance with third-party service terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through:

Good faith negotiation between the parties
Mediation, if negotiation fails
Binding arbitration or litigation in Nairobi, Kenya, if mediation fails

16. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

For existing projects, the terms agreed upon at the start of the project will continue to apply unless both parties agree to new terms in writing.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with any project proposals or service agreements you sign, constitute the entire agreement between you and Shortshifu regarding the use of our services.
